1. מבוא והגדרות
1.1. ברוכים הבאים לאתר "קליניקיט" (להלן: "האתר") המופעל על ידי יניב סולטן (להלן: "החברה "קליניקיט" או "אנחנו").
1.2. האתר מספק שירות עבור ניהול קליניקות רפואיות שונות בהיבטי יומן עבודה, משימות, תשלומים וגבייה.
1.3. בתקנון ותנאי שימוש אלה:
• "משתמש" או "אתה" - כל אדם הגולש באתר או עושה שימוש בשירותיו.
• "תוכן" - כל מידע, תמונה, טקסט, קוד, יישום, עיצוב, ממשק או כל חומר אחר המופיע באתר.
1.4. השימוש באתר, לרבות בתכנים ובשירותים הכלולים בו, כפוף לתנאי השימוש המפורטים להלן.
1.5. בעצם השימוש באתר אתה מצהיר כי קראת והבנת את תנאי השימוש וכי אתה מסכים להם ומתחייב לפעול על פיהם.
1.6. אם אינך מסכים לתנאי השימוש כולם או חלקם, אנא הימנע משימוש באתר.
1.7. החברה שומרת לעצמה את הזכות לעדכן את תנאי השימוש מעת לעת לפי שיקול דעתה הבלעדי וללא צורך במתן הודעה מוקדמת. השינויים ייכנסו לתוקף מיד עם פרסומם באתר. המשך השימוש באתר לאחר עדכון תנאי השימוש מהווה הסכמה לתנאים המעודכנים בו.
1.8. תנאי שימוש אלה מנוסחים בלשון זכר מטעמי נוחות בלבד אך הם מתייחסים לנשים וגברים כאחד.
2. השירותים המוצעים באתר
2.1. האתר מציע שירות של ניהול קליניקות בצורה מסודרת ומאורגנת.
2.2. השירות כולל יומן פגישות, ניהול מטופלים, ניהול משימות, ניהול פיננסי, תשלומים, גבייה ועוד.
2.3. האתר מספק בסיס לניהול אדמיניסטרטיבי בלבד ואינו מהווה ייעוץ רפואי, משפטי, פיננסי מכל סוג שהוא, לקבלת ייעוץ מקצועי יש לפנות לגורמים המוסמכים לכך.
2.4. המידע המוצג באתר מבוסס על המידע אותו הקליניקות מזינות אליו. החברה אינה אחראית לדיוק, לשלמות או לאמינות המידע המוצג.
2.5. "קליניקיט" אינה קליניקה או מרפאה. אנו מספקים פלטפורמה לניהול תקין מאורגן ומסודר של קליניקות.
3. תנאי השימוש באתר
3.1. השימוש באתר מותר למשתמשים מגיל 18 ומעלה בלבד. משתמשים מתחת לגיל 18 רשאים להשתמש באתר אך ורק בליווי ובאישור הורה או אפוטרופוס.
3.2. השימוש באתר הינו אישי ולא מסחרי. אין להעתיק, להפיץ או לעשות שימוש מסחרי בתכנים המופיעים באתר ללא אישור מפורש מהחברה.
3.3. הנך מתחייב להשתמש באתר בהתאם לכל דין ובאופן שאינו פוגע בזכויות צד שלישי כלשהו.
3.4. אין לבצע כל פעולה העלולה לפגוע בתפקוד התקין של האתר, לרבות אך לא רק: א. שימוש בתוכנות אוטומטיות לאיסוף מידע או גלישה באתר. ב. הצפת האתר בבקשות בתוך פרק זמן קצר. ג. ניסיונות לעקוף את מנגנוני האבטחה של האתר. ד. הפצת וירוסים או קוד זדוני אחר. ה. שינוי, עריכה או מחיקה של תכנים מהאתר ללא הרשאה.
3.5. החברה רשאית להגביל או לחסום את גישתך לאתר באופן זמני או קבוע במקרה של הפרת תנאי השימוש או מכל סיבה אחרת לפי שיקול דעתה הבלעדי.
4. הרשמה לאתר ומסירת מידע
4.1. חלק מהשירותים באתר עשויים להיות כרוכים ברישום. בעת הרישום עליך למסור פרטים מדויקים, מלאים ועדכניים.
4.2. החברה רשאית לסרב לאשר רישום משתמש או לבטל רישום קיים לפי שיקול דעתה הבלעדי.
4.3. בעת השימוש באתר ייתכן שתתבקש למסור מידע אישי ורפואי. אתה מצהיר כי כל המידע שתמסור הינו נכון, מדויק ומלא.
4.4. אתה מסכים כי מסירת מידע שגוי, לא מדויק או לא מלא עלולה לגרום לתוצאות לא מתאימות ואתה מוותר על כל טענה כלפי "קליניקיט" ו/או יניב סולטן בעניין זה.
5. הגבלת אחריות
5.1. השימוש באתר "קליניקיט" הינו על אחריותך הבלעדית. האתר על כל תכניו והשירותים המוצעים בו ניתן לשימוש כמות שהוא (AS IS) החברה אינה מתחייבת כי השירות יהיה ללא תקלות, שגיאות או הפרעות.
5.2. "קליניקיט" לא תישא באחריות לכל נזק ישיר, עקיף, תוצאתי או מיוחד שייגרם למשתמש או לצד שלישי כתוצאה מהשימוש באתר או מהסתמכות על המידע המוצג בו, לרבות אך לא רק: א. נזקים הנובעים מאובדן רווחים, אובדן נתונים, עוגמת נפש או הפסקת עסקים. ב. נזקים הנובעים מעיכובים, אי דיוקים, טעויות או השמטות במידע המוצג באתר. ג. נזקים הנובעים מחוסר יכולת להשתמש באתר או בשירותיו. ד. נזקים הנובעים מוירוסים, תוכנות זדוניות או כל גורם מזיק אחר שעלול להיות מועבר דרך האתר.
5.3. החברה לא תהיה אחראית לכל שיבוש, טעות או השמטה בתיאור המוצרים באתר. התמונות באתר הן להמחשה בלבד ואין להסתמך עליהן.
5.4. "קליניקיט" אינה מתחייבת כי השירות יתאים לצרכיו הספציפיים של כל משתמש. על המשתמש לבחון בעצמו את התאמת השירות והמוצרים המוצעים לצרכיו.
5.5. "קליניקיט" לא תהיה אחראית לכל נזק שייגרם כתוצאה מהחלטות שיתקבלו על סמך המידע המוצג באתר.
5.6. אחריותה המצטברת של "קליניקיט" בגין כל נזק מכל סיבה שהיא לא תעלה בשום מקרה על סכום ששולם בפועל לחברה ב- 12 החודשים שקדמו לאירוע הספציפי שבגינו נגרם הנזק.
6. פרטיות ואבטחת מידע (מספר רישיון מאגר המידע הוא:___________)
6.1. החברה מכבדת את פרטיות המשתמשים באתר. השימוש במידע אישי שנמסר על ידך יהיה בהתאם למדיניות הפרטיות של החברה, המהווה חלק בלתי נפרד מתנאי שימוש אלה.
6.2. החברה נוקטת באמצעי אבטחה גבוהים להגנה על המידע הנמסר באתר. עם זאת, לא ניתן להבטיח אבטחה מוחלטת בסביבה מקוונת. אתה מסכים לשאת בסיכונים הכרוכים בהעברת מידע באינטרנט.

7.5. המשתמש מעניק ל-"קליניקיט" רישיון בלתי חוזר, עולמי וללא תמלוגים להשתמש בכל משוב, הצעה או רעיון שיספק לגבי האתר או השירותים.
8. קישורים לאתרים חיצוניים
8.1. האתר עשוי לכלול קישורים לאתרים חיצוניים, "קליניקיט" אינה אחראית לתוכן, למדיניות הפרטיות או לנהלים של אתרים אלה.
8.2. הכללת קישור לאתר חיצוני אינה מהווה המלצה או אישור של "קליניקיט" לגבי תוכן האתר המקושר או המוצרים והשירותים המוצעים בו.
8.3. השימוש באתרים חיצוניים הוא באחריותך הבלעדית. עליך לעיין בתנאי השימוש ובמדיניות הפרטיות של אתרים אלה לפני השימוש בהם.
8.4. "קליניקיט" לא תישא באחריות לכל נזק או אובדן הנובעים מהסתמכות על מידע או שירותים המסופקים באתרים מקושרים.
9. תהליך ההרשמה והמחירים
9.1. לצורך שימוש בחלק מהשירותים נדרש תהליך הרשמה ופתיחת חשבון משתמש.
9.2. המשתמש מצהיר ומתחייב כי כל מידע שיימסר על ידו, לרבות מידע אישי, רפואי או מקצועי, הינו נכון, מדויק, מלא ומעודכן.
9.3. המשתמש אחראי באופן בלעדי לשמירה על סודיות פרטי ההתחברות שלו ולכל פעולה שתבוצע באמצעות חשבונו.
9.4. המחירים המוצגים באתר "קליניקיט" עשויים להשתנות בכל עת ללא הודעה מוקדמת.
9.5. החברה רשאית לחסום, להגביל או לבטל חשבון, לפי שיקול דעתה הבלעדי, לרבות במקרה של הפרת תקנון.
10. אחריות המשתמש ושיפוי
10.1. המשתמש מתחייב לעשות שימוש באתר "קליניקיט" בהתאם לכל דין ובאופן שאינו פוגע בזכויות צד שלישי כלשהו.
10.2. המשתמש מתחייב שלא להעלות, לשדר או להפיץ באמצעות האתר כל תוכן בלתי חוקי, מאיים, משמיץ, מטריד, פוגעני, גזעני או מפר זכויות של אחרים.
10.3. המשתמש אחראי לאמת את כל המידע המוזן על ידו באתר ומתחייב למסור מידע אמיתי, מדויק ומלא בכל עת.
10.4. "קליניקיט" אינה צד למידע הטיפולי ואינה אחראית לו.
10.5. המשתמש מודע לכך שהזנת מידע רגיש למערכת נעשית על אחריותו, וכי העברת מידע באמצעים דיגיטליים כרוכה בסיכונים.
10.6. המשתמש מתחייב לשפות את "קליניקיט" עובדיה, מנהליה, בעלי מניותיה או מי מטעמה בגין כל נזק, הפסד, אבדן רווח, תשלום או הוצאה שייגרמו להם עקב הפרת תנאי השימוש, הפרת כל דין או פגיעה בזכויות צד שלישי במסגרת השימוש באתר.
10.7. שיפוי זה יכלול בין היתר שכר טרחת עורכי דין והוצאות משפטיות סבירות.
11. יצירת קשר ותמיכה
11.1. בכל שאלה או בעיה הקשורה לשימוש באתר ניתן ליצור קשר עם שירות הלקוחות של "קליניקיט" באמצעים הבאים:

• לתשומת לבך, צוות התמיכה של "קליניקיט" אינו מוסמך לתת ייעוץ משפטי או רפואי. לייעוץ מקצועי יש לפנות לגורמים המוסמכים לכך.
12. שינויים בשירות ובתנאי השימוש
12.1. "קליניקיט" שומרת לעצמה את הזכות לשנות, להשהות או להפסיק כל היבט של השירות בכל עת, לרבות זמינות התכונות, מסדי הנתונים או התוכן.
12.2. החברה רשאית לעדכן את תנאי השימוש מעת לעת לפי שיקול דעתה הבלעדי. השינויים ייכנסו לתוקף מיד עם פרסומם באתר.
12.3. באחריות המשתמש לעקוב אחר שינויים בתנאי השימוש. המשך השימוש באתר לאחר שינוי בתנאים מהווה הסכמה לתנאים החדשים.
13. סמכות שיפוט וברירת דין
13.1. על תנאי שימוש אלה ועל כל שימוש באתר "קליניקיט" יחולו אך ורק דיני מדינת ישראל.
13.2. סמכות השיפוט הבלעדית בכל עניין הנובע מתנאי שימוש אלה או מהשימוש באתר תהיה נתונה לבתי המשפט המוסמכים במחוז תל אביב-יפו בלבד.
13.3. כל תביעה או הליך משפטי הקשור לאתר או לשירותים המוצעים בו חייב להיות מוגש בתוך שנה אחת מיום היווצרות עילת התביעה.
14. שונות
14.1. אם הוראה כלשהי בתנאי שימוש אלה תימצא בלתי חוקית, בטלה או בלתי אכיפה מכל סיבה, הוראה זו תיחשב כניתנת להפרדה מיתר ההוראות ולא תשפיע על תקפותן ואכיפתן של יתר ההוראות.
14.2. כל ויתור מצד "קליניקיט" על הפרה של הוראה מהוראות תנאי שימוש אלה לא ייחשב כוויתור על הפרה עתידית של אותה הוראה או הוראה אחרת.
14.3. "קליניקיט" רשאית להמחות או להעביר את זכויותיה וחובותיה על פי תנאי שימוש אלה לכל צד שלישי לפי שיקול דעתה הבלעדי ללא צורך בהסכמת המשתמש.
14.4. תנאי שימוש אלה מהווים את ההסכם המלא בינך לבין "קליניקיט" בנוגע לשימוש באתר ומחליפים כל הסכם או הבנה קודמים, בין בעל פה ובין בכתב.
15. נספח: מדיניות שימוש בנתוני משתמשי Google (Google User Data)
במסגרת השימוש בשירותי Google APIs (כגון Google Calendar), האתר פועל בהתאם למדיניות הנתונים של גוגל. להלן פירוט אופן הטיפול במידע זה:
15.1. סוג המידע הנגיש: האפליקציה ניגשת לכתובת האימייל הראשית של המשתמש (לצורך זיהוי וחיבור לחשבון) וכן מקבלת הרשאות לניהול יומן Google (Google Calendar).
15.2. מטרת השימוש והגישה: המערכת משתמשת בהרשאות אלו על מנת ליצור יומן ייעודי חדש בשם "CliniKit" בחשבון הגוגל של המשתמש. יומן זה משמש לסנכרון אוטומטי של תורים ופגישות המוזנים במערכת CliniKit, כך שיופיעו ביומן האישי של המשתמש בזמן אמת. המערכת אינה קוראת או עורכת יומנים אישיים אחרים של המשתמש שאינם קשורים לשירות.
15.3. אחסון והגנה על מידע: הנתונים המופקים מגוגל (כגון מזהי אירועים) נשמרים בצורה מאובטחת בבסיס הנתונים של המערכת (Google Firestore) המוגן באמצעי הצפנה ואבטחה מתקדמים.
15.4. שיתוף מידע: אנו מתחייבים באופן חד-משמעי כי נתוני המשתמש המתקבלים מ-Google APIs אינם מועברים, נמכרים או משותפים עם אף גורם צד שלישי, למעט במידה והדבר נדרש לצורך מתן השירות הטכני ובתנאי שאותו גורם עומד בתקני אבטחה מחמירים.
15.5. מחיקת מידע וביטול הרשאה: המשתמש רשאי להפסיק את הסנכרון ולנתק את חשבון הגוגל שלו בכל עת באמצעות כפתור "נתק חשבון" בהגדרות המערכת. עם ניתוק החשבון, כל המידע המזהה והנתונים שנשאבו מחשבון הגוגל יימחקו לצמיתות משרתי המערכת.

1.4. Use of the Site, including the content and services included therein, is subject to the Terms of Use detailed below.

1.6. If you do not agree to the Terms of Use, in whole or in part, please refrain from using the Site.

2.2. The service includes an appointment calendar, patient management, task management, financial management, payments, collections and more.
2.3. The Site provides a basis for administrative management only and does not constitute medical, legal or financial advice of any kind. For professional advice, please contact the relevant authorized parties.
2.4. The information presented on the Site is based on the information that the clinics enter into it. The Company is not responsible for the accuracy, completeness or reliability of the information presented.
2.5. "CliniKit" is not a clinic or medical practice. We provide a platform for the proper, organized and orderly management of clinics.
3. Terms of Use of the Site
3.1. Use of the Site is permitted only to users aged 18 and over. Users under the age of 18 are permitted to use the Site only with the accompaniment and approval of a parent or guardian.
3.2. Use of the Site is personal and non-commercial. The content appearing on the Site may not be copied, distributed or used commercially without express permission from the Company.
3.3. You undertake to use the Site in accordance with all applicable law and in a manner that does not infringe the rights of any third party.
3.4. No action may be taken that may impair the proper functioning of the Site, including but not limited to: a. Use of automated software to collect information or browse the Site. b. Flooding the Site with requests within a short period of time. c. Attempts to circumvent the Site's security mechanisms. d. Distribution of viruses or other malicious code. e. Modifying, editing or deleting content from the Site without authorization.
3.5. The Company is entitled to restrict or block your access to the Site temporarily or permanently in the event of a breach of the Terms of Use or for any other reason at its sole discretion.
4. Registration and Submission of Information

4.2. The Company is entitled to refuse to approve the registration of a user or to cancel an existing registration at its sole discretion.

5.1. Use of the "CliniKit" Site is at your sole responsibility. The Site, including all of its content and the services offered on it, is provided on an "AS IS" basis. The Company does not warrant that the service will be free from faults, errors or interruptions.
5.2. "CliniKit" shall not be liable for any direct, indirect, consequential or special damage caused to the user or to a third party as a result of use of the Site or reliance on the information presented on it, including but not limited to: a. Damages arising from loss of profits, loss of data, distress or business interruption. b. Damages arising from delays, inaccuracies, errors or omissions in the information presented on the Site. c. Damages arising from inability to use the Site or its services. d. Damages arising from viruses, malicious software or any other harmful element that may be transmitted through the Site.
5.3. The Company shall not be liable for any disruption, error or omission in the description of products on the Site. The images on the Site are for illustrative purposes only and should not be relied upon.
5.4. "CliniKit" does not warrant that the service will be suitable for the specific needs of every user. The user must examine for himself the suitability of the service and the products offered to his needs.
5.5. "CliniKit" shall not be liable for any damage caused as a result of decisions made on the basis of the information presented on the Site.
5.6. The cumulative liability of "CliniKit" for any damage of any kind shall in no event exceed the amount actually paid to the Company in the 12 months preceding the specific event for which the damage was caused.

9.4. The prices displayed on the "CliniKit" Site may change at any time without prior notice.
9.5. The Company is entitled to block, restrict or cancel an account, at its sole discretion, including in the event of a breach of the terms.
10. User Responsibility and Indemnification
10.1. The user undertakes to use the "CliniKit" Site in accordance with all applicable law and in a manner that does not infringe the rights of any third party.
10.2. The user undertakes not to upload, transmit or distribute through the Site any content that is illegal, threatening, defamatory, harassing, offensive, racist or that infringes the rights of others.
10.3. The user is responsible for verifying all the information he enters on the Site and undertakes to provide true, accurate and complete information at all times.
10.4. "CliniKit" is not a party to the treatment information and is not responsible for it.
10.5. The user is aware that the entry of sensitive information into the system is done at his own responsibility, and that the transmission of information by digital means involves risks.

13. Jurisdiction and Choice of Law
13.1. These Terms of Use and any use of the "CliniKit" Site shall be governed exclusively by the laws of the State of Israel.
13.2. The exclusive jurisdiction in any matter arising from these Terms of Use or from the use of the Site shall lie with the competent courts in the Tel Aviv-Yafo district only.
13.3. Any claim or legal proceeding related to the Site or to the services offered on it must be filed within one year from the date on which the cause of action arose.
14. Miscellaneous
14.1. If any provision of these Terms of Use is found to be illegal, void or unenforceable for any reason, that provision shall be deemed severable from the remaining provisions and shall not affect the validity and enforceability of the remaining provisions.
14.2. Any waiver by "CliniKit" of a breach of any provision of these Terms of Use shall not be deemed a waiver of any future breach of that or any other provision.
14.3. "CliniKit" is entitled to assign or transfer its rights and obligations under these Terms of Use to any third party at its sole discretion without the need for the user's consent.
14.4. These Terms of Use constitute the entire agreement between you and "CliniKit" regarding the use of the Site and supersede any prior agreement or understanding, whether oral or written.
15. Appendix: Google User Data Usage Policy
As part of the use of Google APIs services (such as Google Calendar), the Site operates in accordance with Google's data policy. The following details how this information is handled:
15.1. Type of Information Accessed: The application accesses the user's primary email address (for the purpose of identification and connection to the account) and also receives permissions to manage the user's Google Calendar.
15.2. Purpose of Use and Access: The system uses these permissions in order to create a new dedicated calendar named "CliniKit" in the user's Google account. This calendar is used for automatic synchronization of appointments and meetings entered into the CliniKit system, so that they appear in the user's personal calendar in real time. The system does not read or edit other personal calendars of the user that are not related to the service.
15.3. Storage and Protection of Information: The data obtained from Google (such as event identifiers) is stored securely in the system's database (Google Firestore), which is protected by advanced encryption and security measures.
15.4. Information Sharing: We unequivocally undertake that the user data received from Google APIs is not transferred, sold or shared with any third party, except to the extent necessary for the provision of the technical service and provided that such party meets strict security standards.
15.5. Deletion of Information and Revocation of Authorization: The user may stop the synchronization and disconnect his Google account at any time using the "Disconnect Account" button in the system settings. Upon disconnection of the account, all identifying information and data obtained from the Google account will be permanently deleted from the system's servers.
